Mutual Non-Disclosure Agreement
1. Parties
This agreement is between Site Safety UAE ("we") and the organisation named in the signature block ("you"). Each party may disclose and receive Confidential Information.
2. Purpose
Evaluating, negotiating or performing a business relationship, including security reviews, architecture and deployment discussions, pricing, and source code review of the Self-Hosted Edition (the "Purpose").
3. Confidential Information
Any non-public business, technical, security, financial or personal information disclosed by one party to the other in any form, whether or not marked confidential, that a reasonable person would understand to be confidential. Source code, security test results, pricing and customer data are always confidential.
4. Exclusions
Information that (a) is or becomes public other than through the recipient's breach; (b) the recipient already lawfully knew without restriction; (c) the recipient receives lawfully from a third party without restriction; or (d) the recipient develops independently without using the other party's information.
5. Obligations
The recipient will use Confidential Information only for the Purpose; protect it with at least the care it uses for its own similar information and no less than reasonable care; and share it only with employees, advisers and contractors who need it for the Purpose and are bound by confidentiality duties at least as protective as these.
6. Required disclosure
The recipient may disclose information when required by law, regulator or court, after giving prompt notice where lawful, and disclosing only what is required.
7. Personal data
Any personal data exchanged is handled in line with Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and any other law that applies.
8. No licence or warranty
No licence or ownership right is granted except the limited right to use information for the Purpose. Information is provided "as is". Neither party must enter any further agreement.
9. Return or destruction
On request or when the Purpose ends, the recipient will return or destroy Confidential Information, except copies kept in routine backups or required by law, which stay protected by this agreement.
10. Term
This agreement covers disclosures made for two years from signature. Obligations last three years after each disclosure, and indefinitely for source code and trade secrets.
11. Remedies
Unauthorised disclosure may cause harm that money cannot fully repair, so the disclosing party may seek injunctive or other interim relief in addition to other remedies.
12. Governing law and disputes
Laws of the United Arab Emirates as applied in the Emirate of Dubai. Disputes go to the courts of Dubai, or to arbitration under the DIAC Arbitration Rules (one arbitrator, seat Dubai, English) where both parties agree in writing.
13. General
This is the whole agreement on its subject. Changes must be in writing and signed by both parties. It may be signed electronically and in counterparts. If the Arabic and English texts differ, the version required by the relevant court or authority prevails.
